Company Mailing Address:
Asimov Robotics Inc.

1. Data Collection Description
As a remote data collector, you will use your own smartphone or designated mobile device and the designated application ("App") to record egocentric video and sensor data while performing everyday household tasks at your own residence. Data collected includes video, audio, and sensor readings from your phone's cameras, microphone, accelerometer, and gyroscope. Recordings capture your hands, surroundings, and activities from a first-person perspective. If the Company provides a headband mount or other accessory, it is provided solely as an irrevocable gift; the Company retains no ownership interest once delivered.
Example tasks include but are not limited to: folding and putting away laundry, loading the dishwasher, wiping down counters and appliances, sweeping or mopping floors, making beds, organizing kitchen cabinets, sorting and washing clothes, hanging up laundry, ironing, putting away groceries, taking out trash and recycling, tidying up toys and household items, washing dishes by hand, and cleaning windows and mirrors.
Participant represents that they have the legal right to record in their residence and that all household members have been informed of recording activities. Participant acknowledges that Work Product may be transmitted directly to the Company's client systems and that such clients may act as independent data controllers or processors with respect to such data. The Company does not control how client systems store or process Work Product once transmitted and may not store or maintain copies of all recordings.
2. Eligibility & Acknowledgment
By participating, you confirm that: (a) you are at least 18 years of age; (b) you are legally competent to enter binding contracts; (c) you are a resident of the United States; (d) you have carefully read this entire Agreement; (e) you fully understand its terms and consequences; and (f) you voluntarily agree to be legally bound by all terms herein.
3. Complete & Irrevocable Data Rights Assignment
You hereby irrevocably assign, transfer, and convey to the Company all right, title, and interest in and to all recordings, data, and materials created during your participation ("Work Product"), including all intellectual property rights therein. This assignment is absolute, perpetual, worldwide, and royalty-free.
The Company may, without restriction or additional compensation:
- Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, sell, license, sublicense, and otherwise exploit all Work Product
- Sell, license, or transfer Work Product to any third party for any purpose
- Use Work Product to train AI models, robotics systems, and any other technology
- Combine Work Product with other data without restriction
- Store and process Work Product indefinitely
You permanently waive all moral rights, rights of attribution, rights of integrity, and any similar rights in the Work Product under any applicable law.
Participant acknowledges and agrees that once Work Product is provided to third parties for artificial intelligence or machine learning training, the data may become inextricably integrated into such models, algorithms, or systems. Participant understands that it is technologically impossible to "un-learn," extract, or delete specific Work Product from a trained AI model. To the maximum extent permitted by applicable law, Participant expressly waives any right to request the deletion, return, or destruction of Work Product once it has been transferred to a third party or processed into an AI model.
4. No Additional Compensation
Participant will be compensated at the rate specified in the applicable engagement terms or as communicated by the Company prior to performance of services. The Company may modify compensation rates prospectively upon notice to Participant. Only Work Product explicitly approved by the Company will be eligible for payment. This is your sole and complete compensation. You shall receive no royalties, residuals, or additional payments of any kind if the Company sells, licenses, sublicenses, or otherwise monetizes the Work Product.
5. Payment Process & Dispute Resolution
Compensation is calculated based solely on footage duration recorded and verified through the Company's application and subject to review for compliance with Company technical and quality standards. The Company retains sole and exclusive discretion, exercised in good faith and consistent with established technical and quality standards, to determine whether submitted Work Product meets such standards. Approval occurs only upon explicit confirmation by the Company; submission of Work Product does not constitute automatic approval.
Payment for approved Work Product will be issued periodically at the Company's discretion, but no later than thirty (30) days following approval. The Company reserves the right to determine payment cadence, including batching multiple approved submissions into a single payout. Payments will be issued via ACH or other designated payment method.
The Company will provide a payout summary to Participant via email or dashboard. Participant must notify the Company in writing of any discrepancy within twenty-four (24) hours of receiving the payout summary. Failure to dispute within this period constitutes irrevocable acceptance of the payment amount. Participant waives any claim for additional compensation not raised within such period. The Company shall have no obligation to pay for rejected, incomplete, corrupted, non-compliant, or otherwise unapproved Work Product.
6. No Guaranteed Hours or Assignments
The Company does not guarantee any minimum number of hours, tasks, assignments, or compensation. Participation is entirely voluntary and on a project-by-project basis. The Company may increase, decrease, suspend, or discontinue available work opportunities at any time without notice.
7. COMPLETE ASSUMPTION OF ALL RISKS
YOU EXPRESSLY ACKNOWLEDGE AND ASSUME ALL RISKS ASSOCIATED WITH PARTICIPATION, WHETHER KNOWN OR UNKNOWN, FORESEEN OR UNFORESEEN, INCLUDING BUT NOT LIMITED TO:
- Physical injury, illness, pain, suffering, disability, or death arising from wearing the headband device or performing household tasks
- Property damage or loss, including damage to your phone or personal property

- Risks arising from defective or malfunctioning equipment
- Any other harm of any kind whatsoever
8. RELEASE OF LIABILITY (ORDINARY NEGLIGENCE ONLY)
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY FOREVER RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO SUE THE COMPANY, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, SUCCESSORS, ASSIGNS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, INSURERS, AND REPRESENTATIVES (COLLECTIVELY, "RELEASED PARTIES") FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, COSTS, EXPENSES, OR DAMAGES OF ANY KIND ARISING FROM ORDINARY NEGLIGENCE RELATED TO YOUR PARTICIPATION, INCLUDING BUT NOT LIMITED TO:
- Claims for personal injury, bodily harm, illness, or death
- Claims for property damage or loss, including damage to your phone or equipment
- Claims for emotional distress, mental anguish, or psychological harm
- Claims for ordinary negligence of Released Parties
- Claims for breach of contract, warranty, or any duty
- Claims arising from defective or malfunctioning equipment
- Any other claims of any nature whatsoever arising from ordinary negligence
CALIFORNIA SPECIFIC EXCLUSION: THIS RELEASE DOES NOT APPLY TO CLAIMS ARISING FROM THE COMPANY'S GROSS NEGLIGENCE, RECKLESSNESS, INTENTIONAL TORTS, OR WILLFUL MISCONDUCT.
9. Waiver of California Civil Code Section 1542
You expressly waive and relinquish all rights and benefits under California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
You understand this means you are releasing claims you may not yet know exist.
10. Comprehensive Indemnification
You agree to indemnify, defend, and hold completely harmless the Released Parties from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including attorneys' fees and court costs), penalties, and judgments arising from or relating to: (a) your participation; (b) any breach of this Agreement; (c) your violation of any law or third-party rights; (d) any injury or damage caused by you; (e) any claim by any third party related to your participation or the Work Product; (f) any damage to your residence or property during recording activities; (g) any third-party claim arising from unauthorized recording, lack of consent, violation of privacy rights, publicity rights, or biometric rights related to Work Product.
This indemnification obligation survives termination of this Agreement and your participation.
11. Independent Contractor Status
You are an independent contractor. Nothing in this Agreement creates any employment, partnership, joint venture, or agency relationship. Participant retains sole control over the manner, means, and method of performing tasks, subject only to compliance with Company technical specifications. Participant is free to perform services for other clients and is not required to work exclusively for the Company. The Company does not provide training, supervision, or direct oversight of Participant's daily activities beyond technical review of submitted Work Product. The Company does not control Participant's schedule and does not require minimum hours. You are solely responsible for all taxes, including self-employment taxes, income taxes, and any other applicable taxes. The Company will not withhold taxes or provide any employment benefits, insurance, workers' compensation, or retirement benefits. You have no authority to bind the Company in any way.
12. Termination
Either party may terminate this Agreement at any time, with or without cause, effective immediately. Upon termination, the Company shall compensate Participant only for Work Product that has been approved prior to termination. The Company shall have sole discretion to review or reject any pending Work Product at the time of termination and shall have no obligation to review or approve Work Product submitted after termination.
13. Confidentiality & Data Handling
Participant acknowledges that all Work Product and related materials are confidential and proprietary to the Company. Participant agrees not to retain, copy, distribute, disclose, publish, upload, or otherwise use any Work Product outside the scope of participation. Participant shall not share recordings, screenshots, or application materials on social media or with third parties.
Upon request or termination, Participant shall delete any retained copies of Company materials in their possession. This confidentiality obligation survives termination of this Agreement.
14. Equipment & Tools
You certify that you are supplying your own smartphone or designated mobile device to perform these tasks. If the Company provides a headband mount or other accessory, it is provided solely as an irrevocable gift to facilitate your independent work. The Company retains no ownership interest in, or right to recall, said equipment once delivered. You are solely responsible for the maintenance and proper use of your own equipment.
15. No Liability Cap Exception
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF, NOTWITHSTANDING THE FOREGOING, ANY RELEASED PARTY IS FOUND LIABLE TO YOU FOR ANY REASON, THE TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU WERE PAID IN THE 30 DAYS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
16. Binding Arbitration & Class Action Waiver
ANY DISPUTE ARISING FROM THIS AGREEMENT OR YOUR PARTICIPATION SHALL BE RESOLVED EXCLUSIVELY BY BINDING ARBITRATION administered by JAMS in Alameda County, California. The Company shall pay all arbitration filing fees and arbitrator compensation. The arbitrator's decision shall be final and binding. Either party may bring individual claims in small claims court in lieu of arbitration.
YOU WAIVE ANY RIGHT TO A JURY TRIAL. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY.
17. Governing Law & Venue
This Agreement is governed by the laws of the State of California without regard to conflicts of law principles. Any litigation (if arbitration is deemed unenforceable) shall be brought exclusively in state or federal courts located in Alameda County, California, and you consent to personal jurisdiction there.
18. Severability & Survival
If any provision is found unenforceable, it shall be enforced to the maximum extent permissible, and remaining provisions remain in full force. If the liability waiver is found unenforceable in any respect, you agree the maximum enforceable limitation shall apply. All waivers, releases, indemnifications, confidentiality obligations, and limitations of liability survive termination of this Agreement.
19. No Reliance
Participant acknowledges that no promises or guarantees have been made regarding future work, continued engagement, or anticipated earnings. Participant assumes all economic risk associated with participation.
20. Notices
All notices under this Agreement shall be sent to the email address provided by Participant. Participant is responsible for maintaining a current email address on file with the Company. Notice is deemed received upon sending to the email address on record.
21. Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond reasonable control, including but not limited to acts of God, natural disasters, internet or infrastructure outages, government actions, or epidemics. This does not excuse Participant from obligations regarding Work Product already submitted.
22. Entire Agreement
This Agreement constitutes the entire agreement between you and the Company regarding your participation and supersedes all prior agreements, representations, and understandings. No modification is valid unless in writing and signed by the Company.
23. Biometric Data & Prohibited Recordings
The Company does not use Work Product to identify specific individuals and does not operate facial recognition or identity-matching systems. To the extent applicable law classifies elements of recordings as biometric identifiers or biometric information, Participant expressly consents to their collection, storage, use, transfer, and processing for artificial intelligence training, robotics development, and other lawful purposes.
RESTRICTIONS: You strictly agree NOT to record: (a) inside public restrooms, locker rooms, or any bathroom where another individual is present (recording in your own private bathroom while cleaning is permitted provided no other person is present); (b) any nudity or sexually explicit content; or (c) any third party who has not provided express written consent to be recorded and for the recording to be used for commercial purposes. Violation of this clause is grounds for immediate termination without pay.
ABSOLUTE PROHIBITION ON MINORS: Participant shall not intentionally or unintentionally record any individual under eighteen (18) years of age. If a minor appears in any recording, Participant must immediately cease recording and delete the affected footage. No compensation shall be owed for any Work Product containing a minor.
THIRD-PARTY PROTECTION: Participant shall not intentionally record any identifiable third party without express written consent. If any identifiable third party appears in Work Product, Participant represents and warrants that such individual has provided express written consent for recording and commercial use. Participant assumes full responsibility for obtaining and retaining proof of such consent, shall retain it for a minimum of two (2) years, and must provide it upon Company request.
The Company may, at its sole discretion, immediately delete, reject, or require destruction of any Work Product containing identifiable third parties or minors, and no compensation shall be owed for such submissions. Participant agrees to indemnify and hold harmless the Company from any claim, demand, or liability arising from unauthorized recording of third parties.
24. SMS Communications
By providing your phone number, you consent to receive text messages from the Company related to your participation, including onboarding updates, scheduling communications, and operational notices. Message frequency varies. Message and data rates may apply. You may opt out of text messages at any time by replying STOP.
25. Downstream Use Disclaimer
Participant acknowledges that Work Product may be transferred, licensed, or sold to third parties for research, development, and commercial purposes. Participant waives any claim relating to downstream use of approved Work Product, except for claims arising from the Company's gross negligence or willful misconduct.
26. Data Deletion Authority
The Company reserves the right to remove, delete, or require destruction of any Work Product at any time, including after approval, if the Company determines in its sole discretion that such Work Product violates this Agreement or presents legal risk. Deletion of Work Product shall not give rise to any claim for additional compensation, damages, or restoration.
